CALL FOR NOMINATIONS AND APPLICATIONS FOR TWO (2) CANDIDATES TO SERVE AS NON-EXECUTIVE DIRECTORS ON THE SANAMI AGRO-MANUFACTURING INCUBATOR NPC BOARD
The Chairperson of the Board, hereby invites nominations for new members to serve on the Board of SANAMI.
SANAMI Agro-Manufacturing Incubator is a Non-Profit Company (NPC) established in terms of the Companies Act 71 of 2008 with the aim of stimulating the economy and employment opportunities in the Agro- Manufacturing Sector within the rural Alfred Nzo District Municipality through business incubation and technology demonstration. The incubator serves as a vehicle that has been set up to accelerate the establishment and development of agro-manufacturing businesses and fresh produce depot shared facilities within the District Municipality, and in so doing provide access to post-harvest handling facilities and appropriate technology to emerging rural farmers and SMME’s and contribute to economic growth, wealth and job creation within the District.
Two (2) vacancies on the board exist and members of the public who posses the necessary qualifications, skills, experience and competencies in the Legal field (specifically in regulatory, licensing and permits, compliance and contract law) and in the Agriculture and/ or Agro-processing field are invited to apply. Academic Institutions and Science Councils are encouraged to nominate a representative to the board.
Eligibility and Qualifications for Directors of Companies:
To be eligible for appointment or designation as a director of a company, a person-
(a) must not be an office bearer of any party, movement, organisation or body of a partisan political nature, personally or through a spouse, partner or associate; or
(b) has not or acquired an interest in a business or enterprise, which may conflict or interfere with the proper performance of the duties of a member of the Board;
(c) is not an unrehabilitated insolvent or becomes insolvent;
(d) has never been, or is, not removed from an office of trust on account of misconduct in respect of fraud or the misappropriation of money;
(e) is not subject to an order of a competent court holding that person to be mentally unfit or disordered;
(f) within the previous 10 years has not been, or is, not convicted in the Republic or elsewhere of theft, fraud, forgery or uttering a forged document, perjury, an offence under the Prevention and Combating of Corrupt Activities Act, 2004 (Act No. 12 of 2W), an offence under the Financial Intelligence Centre Act, 2001 (Act No. 38 of 2001), or an offence involving dishonesty; or
(g) has not been convicted of any other offence committed after the Constitution of 35 the Republic of South Africa, 1993 (Act No. 200 of 1993), took effect, and sentenced to imprisonment without the option of a fine.
Nomination Procedure:
- Interested and qualifying candidates must be nominated in writing and must accept the nomination in writing;
- A detailed CV of the nominated candidate must be submitted together with the signed nomination letter and the signed acceptance of the nomination letter, motivation for appointment, certified copies of identity document and qualifications;
- Background verification, including criminal record and qualification checks, will form part of the selection process. It is the nominee’s responsibility to have foreign qualifications verified by the South African Qualifications Authority (SAQA);
- Preference will be given to candidates whose appointment will enhance representativity;
- Correspondence will be limited to short-listed candidates only and no late nominations and applications will be accepted. Strict compliance with the nomination requirements and selection procedure will be adhered to.
Please note that Sanami NPC does not pay board sitting fees but only pays for accommodation, subsistence and travelling for board related activities.
